Objectives
The Corporate Governance, Sustainability and Nominations Committee assists the Board of Directors with the aim of:
- Ensuring that the composition, structure and operation of the Board of Directors meet the legal, regulatory and supervisory requirements.
- Ensuring there is an effective and transparent procedure in place for nominating candidates to the Board and Key Function Holders.
- Establishing the conditions required for effective succession and continuity in the Board of Directors.
- Ensuring the implementation of Environmental, Social and Governance (ESG) standards.
Responsibilities
To meet its objectives, the Corporate Governance, Sustainability and Nominations Committee:
- Monitors the Alpha Services and Holdings compliance with the Hellenic Corporate Governance Code.
- Facilitates the regular review of the Board Committees Charters, in consultation with the relevant Committees.
- Develops and regularly reviews the selection criteria and the appointment process for the Board Members.
- Assesses the knowledge, skills and experience of each Board Member, as well as of the Board of Directors collectively, and reports accordingly to the Board.
- Reviews the current and emerging ESG trends and regulatory developments reporting.

Composition and tenure
The Corporate Governance, Sustainability and Nominations Committee is composed of Non-Executive Board Members, Independent in their majority, with a 4-year tenure.
At least 1 Committee Member is in charge of overseeing ESG issues.
The Committee Members collectively possess the required knowledge, skills and experience relating to sustainability and ESG issues, as well as to the business of Alpha Services and Holdings.
The Chair of the Corporate Governance, Sustainability and Nominations Committee is an Independent Non-Executive Board Member.
