Objective and duties
The Board of Directors represents Alpha Services and Holdings. It makes decisions in relation to the management of the company and its assets, and the pursuit of its objective in general.
To achieve its objective, it fulfils 3 fundamental duties:
- Diligent management and care – The Board Members are committed to demonstrating diligence and ensuring compliance with applicable legislation.
- Loyalty – The Board Members must make every effort to enhance the long-term economic value of Alpha Services and Holdings and defend its interests.
- Confidentiality – The Board Members must handle with absolute confidentiality any privileged information which comes to their knowledge when performing their duties.
Responsibilities
The main responsibility of the Board of Directors is the management of Alpha Services and Holdings' affairs and its representation vis-à-vis third parties. It has the ultimate and overall responsibility for the company and is accountable for matters of prudent management. Therefore, among others, the Board:
- Approves and oversees the implementation of the Company’s strategic objectives, risk strategy and ESG strategy as well as its internal governance.
- Ensures the integrity of the accounting and financial reporting systems, and compliance with the law and relevant standards.
- Oversees the process of disclosure and communication.
- Is responsible for providing effective oversight of Senior Management.
The duties and responsibilities of the Board of Directors, as well as the principles and framework of its proper operation are set out in the Board of Directors Charter, in accordance with the Articles of Incorporation, and the applicable laws and regulation
Composition of the Board of Directors
The Board of Directors has a 4-year tenure and consists of 13
Members:
- 8 Independent Non-Executive Members
- 3 Non-Executive Members
- 2 Executive Members
The Board of Directors meets whenever is required for the proper discharge of its responsibilities. At the beginning of each calendar year, the Board adopts a calendar and a work plan. See the Board Members’ attendance rates at meetings in 2023.
